Terms of Service
Effective Date: August 1, 2026
Please read these Terms and Conditions ("Terms") carefully before accessing or using the Wordcrafte™ platform, website, or any related services (collectively, the "Platform") operated by Sprache Education (OPC) Private Limited ("Company", "we", "us", or "our"), a company incorporated under the laws of India.
By creating an account, enrolling in any course, purchasing a subscription, or otherwise using the Platform, you ("User", "Student", or "you") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.
Wordcrafte™ by Sprache Education (OPC) Private Limited
1 - Definitions
For the purposes of these Terms, the following definitions apply:
- "Platform" means the Wordcrafte™ website, web application, and mobile application owned and operated by Sprache Education (OPC) Private Limited
- "Services" means all language learning courses, live coaching sessions, group batch classes, digital learning materials, certificates, badges, and any other offerings made available through the Platform.
- "Course" means any pre-recorded, self-paced, or blended learning programme available for purchase or subscription on the Platform.
- "Live Session" means a one-on-one or group coaching session delivered in real time by a Wordcrafte™ coach via the Platform or a designated video-conferencing tool.
- "Content" means all text, video, audio, images, assessments, worksheets, exercises, certificates, badges, and other materials provided by the Company through the Platform.
- "Subscription" means a recurring payment plan granting the User access to specified Services for a defined billing period.
- "Minor" means any individual under the age of 18 years.
2 - Eligibility and Account Registration
2.1 - Age Requirements
The Platform is open to users aged 13 years and above. Users between the ages of 13 and 17 ("Minors") may access the Platform only with the express, verifiable consent of a parent or legal guardian ("Guardian"). By permitting a Minor to register, the Guardian:
- Confirms they have read and accept these Terms on behalf of the Minor;
- Agree to be responsible for the Minor's compliance with these Terms; and
- Accept full liability for any purchases, subscriptions, or activities undertaken by the Minor on the Platform.
The Company reserves the right to require proof of Guardian consent at any time and to suspend accounts where such proof is not provided upon request.
2.2 - Account Registration
To access most Services, you must create an account by providing accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials;
- All activity that occurs under your account; and
- Promptly notifying us at the contact details below if you suspect unauthorised use.
You may not share, sell, or transfer your account to any third party. Each account is personal and non-transferable.
3 - Services and Offerings
3.1 - Language Courses
Wordcrafte™ offers structured language courses in English, and various Indian languages across beginner, intermediate, and advanced levels. Courses are accessible via the Platform following successful enrolment and payment.
3.2 - Live One-on-One Coaching
Users may book individual coaching sessions with a designated Wordcrafte™ coach. Each session is paid for on a per-session basis unless otherwise specified in a package or subscription plan.
Cancellation and rescheduling of live sessions are subject to the coach's discretion on a case-by-case basis. Users are encouraged to provide advance notice of any scheduling changes. The Company does not guarantee rescheduling and will not be liable for sessions that are forfeited due to a user's failure to attend without adequate notice.
3.3 - Group Batch Classes
Group batch classes are conducted on a fixed schedule. Users who miss a scheduled session without prior notice acknowledged by the Company forfeit that session. Batch compositions and schedules may be adjusted by Wordcrafte™ at its sole discretion.
3.4 - Free Trial Sessions
The Company may, at its discretion, offer free trial sessions or demo classes. Free trial access is limited to one session per User per course category unless otherwise stated. The Company reserves the right to withdraw or modify free trial offerings at any time without notice.
3.5 - Subscription Plans
Subscription plans provide access to designated Services on a recurring billing basis (monthly, quarterly, or as specified at the time of purchase). Subscriptions automatically renew unless cancelled by the User before the renewal date. Details of auto-renewal, billing dates, and cancellation procedures will be communicated at the time of purchase and are subject to the applicable payment platform's terms.
4 - Fees, Payments, and Modifications
All fees are displayed in Indian Rupees (INR) unless an alternative currency is specified for international users. Fees are inclusive of applicable taxes unless stated otherwise.
Payment must be completed in full before access to any paid Service is granted. The Company accepts payments through the methods listed on the Platform at the time of purchase.
Right to Modify Pricing: Wordcrafte™ reserves the right to modify course content, schedules, batch timings, and pricing at any time, with or without prior notice. Changes to pricing will not affect Services already paid for in full at the prior rate during the applicable access period, except where a Subscription auto-renewal is involved, in which case the new pricing will apply at the next billing cycle.
Users are responsible for any bank charges, currency conversion fees, or transaction charges levied by their payment provider.
5 - Intellectual Property and Content Usage
5.1 - Ownership
All Content on the Platform - including but not limited to course videos, audio recordings, study materials, worksheets, assessments, lesson plans, design elements, branding, and the Wordcrafte™ name and logo - is the exclusive intellectual property of Sprache Education (OPC) Private Limited and is protected under applicable Indian and international intellectual property laws.
5.2 - Limited Licence to Users
Upon successful enrolment and payment, the Company grants you a personal, non-exclusive, non-transferable, revocable licence to access and use the Content solely for your own personal, non-commercial educational purposes during the applicable access period.
5.3 - Prohibited Uses
You expressly agree NOT to:
- Copy, reproduce, distribute, publish, upload, transmit, or share any Content in any form or by any means;
- Resell, sublicense, rent, or otherwise commercialise any Content;
- Use automated tools, bots, scrapers, or any means to extract or download Content in bulk;
- Remove, alter, or obscure any copyright, trademark, or proprietary notices; or
- Use any Content for any commercial purpose without the Company's prior written consent.
5.4 - Consequences of Unauthorised Sharing
Violation of Section 5.3 will result in immediate, permanent account termination without refund, and the Company will pursue all available legal remedies, including but not limited to civil damages and injunctive relief, under the Copyright Act, 1957 and the Information Technology Act, 2000 of India, and applicable international law.
6 - Certificates and Badges
Upon satisfactory completion of a course or attainment of a specified proficiency milestone, the Company may issue digital certificates of completion and/or proficiency level badges ("Credentials") to the User.
Credentials issued by Wordcrafte:
- Are awarded solely at the Company's discretion based on completion criteria defined per course;
- Are for personal recognition purposes and do not constitute a formal academic qualification, degree, or government-recognised certification;
- Remain the property of the Company and may be revoked if a User is found to have violated these Terms, engaged in academic dishonesty, or misrepresented their Credentials; and
- May not be altered, falsified, or misrepresented in any manner.
7 - User Conduct and Community Standards
All Users are expected to maintain a respectful, constructive environment on the Platform. You agree not to:
- Engage in any form of harassment, bullying, discrimination, or abusive behaviour toward coaches, staff, or other Users;
- Post, transmit, or share any unlawful, defamatory, obscene, or offensive content;
- Impersonate any person, coach, or entity;
- Interfere with or disrupt the Platform's technical infrastructure; or
- Use the Platform for any purpose that violates applicable law.
The Company reserves the right to remove content, suspend, or permanently terminate accounts of Users who violate these standards, without prior notice and without liability.
8 - Disclaimers
The Platform and all Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, the Company makes no warranties, express or implied, including but not limited to:
- That the Platform will be uninterrupted, error-free, or free of viruses or other harmful components;
- That learning outcomes, language proficiency improvements, or specific results will be achieved; or
- That the Content is completely accurate, current, or free of errors at all times.
Language learning outcomes depend on each individual User's effort, consistency, and aptitude. The Company makes no guarantees of fluency, proficiency levels, or examination results.
9 - Limitation of Liability
To the maximum extent permitted by applicable Indian law, in no event shall Sprache Education (OPC) Private Limited, its directors, officers, employees, coaches, or affiliates be liable for:
- Any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform or Services;
- Loss of data, revenue, or business opportunity; or
- Any third-party conduct or content.
The Company's total aggregate liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the total amount paid by you to the Company in the three (3) months immediately preceding the event giving rise to such claim.
10 - International Users
10.1 - General
Wordcrafte™ is operated from India and is primarily intended for users in India and neighbouring countries. Users outside India access the Platform voluntarily and at their own initiative.
10.2 - European Union Users - GDPR Notice and Consent
If you are accessing the Platform from a country in the European Economic Area (EEA) or any other jurisdiction with data protection laws, you acknowledge and agree that:
- Your personal data will be processed and stored in India, which may not have data protection laws equivalent to those in your home jurisdiction;
- By creating an account, you freely and expressly consent to such transfer and processing; and
- Matters relating to data processing, retention, and your data rights are addressed in our separately published Privacy Policy.
Note: If you do not consent to these data transfer terms, you must not use the Platform.
11 - Termination and Suspension
The Company reserves the right to suspend or terminate your account and access to any Services, at any time, with or without notice, for:
- Breach of any provision of these Terms;
- Non-payment of fees;
- Conduct that the Company, in its sole discretion, determines to be harmful, offensive, or disruptive; or
- Any legal, regulatory, or compliance reason.
Upon termination, your licence to use the Content is immediately revoked. You may request account closure at any time by contacting us at the details below. Closure does not entitle you to any refund of fees already paid.
12 - Modifications to These Terms
The Company reserves the right to amend or update these Terms at any time. When material changes are made, the updated Terms will be posted on the Platform with a revised Effective Date. Continued use of the Platform after such changes are posted constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.
13 - Waivers
13.1 - Waiver of Class Action and Collective Disputes
To the fullest extent permitted by applicable law, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be brought solely in your individual capacity and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding. You expressly waive any right to participate in class-wide arbitration, class action litigation, or any other consolidated or representative action against the Company.
This waiver does not limit your right to bring an individual claim before a court of competent jurisdiction in Kolkata, West Bengal, India, as set out in Section 14 below.
13.2 - Liability Waiver: Learning Outcomes and Session Quality
You acknowledge and agree that language learning is an inherently personal process and that results vary significantly between individuals based on factors outside the Company's control, including but not limited to effort, prior knowledge, consistency of practice, and individual aptitude.
By enrolling in any course or booking any live session, you expressly waive any claim against the Company, its coaches, employees, or affiliates arising from:
- Failure to achieve any particular level of language proficiency, fluency, or examination result;
- Dissatisfaction with the teaching style, pace, or approach of any coach;
- Any perceived mismatch between course content and your personal learning expectations; or
- Technical interruptions, connectivity issues, or platform downtime during a live session that are beyond the reasonable control of the Company.
Nothing in this clause limits liability for gross negligence or wilful misconduct by the Company or its coaches.
13.3 - GDPR and Data Rights Waiver: International and EU Users
If you are accessing the Platform from a country within the European Economic Area (EEA) or any other jurisdiction that affords data subject rights under applicable privacy legislation (including but not limited to the General Data Protection Regulation 2016/679), you acknowledge that:
- The Platform is operated from India, a jurisdiction that may not be deemed to provide an equivalent level of data protection to that of your home jurisdiction;
- By voluntarily creating an account and using the Platform, you freely, specifically, and unambiguously consent to the transfer, storage, and processing of your personal data in India for the purposes set out in our Privacy Policy; and
- To the extent permitted by applicable law, you waive any right to lodge a complaint with a supervisory authority or bring a claim against the Company solely on the basis of such cross-border data transfer, where you have provided explicit, informed consent as described herein.
This waiver does not affect any rights that cannot be waived as a matter of mandatory law in your jurisdiction. You retain the right to withdraw consent at any time by closing your account, subject to the consequences described in Section 11.
13.4 - General Non-Waiver by the Company
No failure or delay by the Company in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right, power, or privilege. No single or partial exercise of any right, power, or privilege shall preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.
A waiver by the Company of any breach or default of these Terms by you shall not be construed as a waiver of any subsequent breach or default, and shall not affect the other provisions of these Terms, which shall remain in full force and effect.
Any waiver by the Company must be made expressly and in writing to be effective.
14 - Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.
Prior to initiating any legal proceedings, the parties agree to attempt to resolve any dispute amicably through good-faith negotiations for a period of 30 days from the date one party notifies the other in writing of the dispute.
